These General Terms and Conditions of Sale apply to all business transactions carried out by PARTNERELEC SPOLKA Z OGRANICZONA ODPOWIEDZIALNOSCIA ("Seller") with its business customers ("Buyer"), unless otherwise agreed in writing.
"Seller" refers to PARTNERELEC SPOLKA Z OGRANICZONA ODPOWIEDZIALNOSCIA.
"Buyer" refers to the business entity purchasing goods from the Seller.
"Website" refers to https://www.partnerelec.pl, the online platform for accessing information about the Seller's products and services.
Orders are usually placed by sending an email or filling a form on the Seller's Website. The email body must include item model codes and quantities.
Orders are binding upon written confirmation by the Seller.
Payments are accepted via bank transfer.
Payment deadlines are negotiated individually with the Buyer and specified on the invoice.
Delivery terms, including timelines and responsibilities, are agreed individually with the Buyer.
The Seller shall not be liable for delays caused by third parties or force majeure.
Shipping costs are paid by the Buyer unless otherwise agreed in writing.
Goods are covered by a 12-month warranty starting from the date of delivery.
The warranty covers manufacturing defects but excludes damage caused by improper use, handling, installation errors, or external factors.
The Seller's liability is limited to the value of the goods purchased. The Seller shall not be liable for indirect or consequential damages.
Confirmed orders and contracts cannot be canceled unless the Buyer demonstrates that the cancellation is due to the Seller's fault.
These terms and agreements between the parties are governed exclusively by Polish law. In matters not regulated by these terms, relevant provisions of the Polish Civil Code shall apply.
Any disputes shall be resolved by courts having jurisdiction in Poland.

The Seller is committed to providing high-quality products and services. If the Buyer identifies any defects or issues with the delivered goods, they should report them to the Seller within 14 days of delivery.
The Buyer should submit a complaint in writing, including a detailed description of the issue, photos of the defective goods, and a copy of the purchase invoice.
Complaints about physical damage due to transport should be reported within 5 business days from the delivery.
Complaints about manufacturing defects should be reported within 12 months from the date of purchase.
The Seller will acknowledge receipt of the complaint within 14 days and will investigate the issue. The Seller may request additional information or evidence from the Buyer to process the complaint.
Complaints about manufacturing defects are subject to be reviewed by the Seller's suppliers or manufacturers, which may affect the processing time. The resolution will be based on their findings and the terms of the warranty.
If the complaint is justified, the Seller will offer a resolution, which may include repair, replacement, or refund of the defective goods, depending on the nature of the issue and the terms of the warranty.
The Seller's liability for justified complaints is limited to the value of the defective goods. The Seller shall not be liable for any indirect or consequential damages resulting from the defect.
Seller is not liable for any damage resulting from improper use, handling, installation errors, or external factors that are not related to manufacturing defects.
Buyer is responsible for the shipping costs of returning the defective goods to the Seller for complaint processing, unless otherwise agreed in writing.
